Terms and Conditions for extase.io
Welcome to our platform! These terms and conditions ("Agreement") apply to your access and use of our platform and services. By accessing and using our platform and services, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree with any of the terms and conditions, you are not permitted to access or use our platform and services.
Grant of Rights
By providing us with the intellectual property rights for a specific NFT, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, modify and distribute solely the 3D models of the NFTs (in this case, CloneX), as well as any accompanying artwork and metadata, for the purposes of showcasing and visual appeal. You also grant us the right to display and promote the NFT on our platform and any other platform we may deem appropriate. You acknowledge and agree that the NFTs may not be recreated.
Revenue Share
In exchange for the intellectual property rights to the NFT, we agree to pay you *5-10% (based off rarity and uniqueness of following NFT) of the revenue generated from the sale of merchandise featuring the NFT as the model. The revenue share will be calculated based on the net revenue received by us from the sale of merchandise. You acknowledge and agree that we are entitled to retain the remaining *95% of the revenue for our services in connection with the promotion, production, and sale of the merchandise.
Ownership
You retain ownership of the NFT, including all associated intellectual property rights, except for the rights granted to us under this Agreement. We do not claim ownership of the NFT, and we will not reproduce or distribute the NFT in any way that exceeds the scope of the license granted under this Agreement.
User Representations and Warranties
You represent and warrant that you are the sole owner of the NFT and that you have the right and authority to grant the license to us under this Agreement. You further represent and warrant that the NFT does not infringe on any third-party rights, including but not limited to copyright, trademark, and publicity rights.
Use of 3D File
In addition to the rights granted in section 1, you also grant us the right to use the 3D file of the NFT to produce and distribute physical merchandise. We will take reasonable steps to ensure that the 3D file is used only for the purposes specified in this Agreement and is not otherwise reproduced or distributed without your consent.
Breach and Termination
If you breach any of the terms and conditions of this Agreement, we reserve the right to terminate the license granted under this Agreement immediately. Upon termination, we will remove the NFT from our platform and cease any further reproduction or distribution of the NFT. You acknowledge and agree that any breach of this Agreement will result in irreparable harm to us, and we may seek injunctive relief or any other appropriate remedy to prevent such harm.
Governing Law
This Agreement will be governed by and construed in accordance with the laws of Germany, Monaco, Ukraine, Israel. Any disputes arising under or in connection with this Agreement will be subject to the exclusive jurisdiction of the following courts.
